Terms of Service

SaaS Agreement

Effective Date: September 27, 2025

1. Acceptance of Terms

By creating an account or using Indostra’s services (the "Platform"), you agree to be bound by these Terms. If you are using the Service on behalf of a business (e.g., a Restaurant or Hotel), you represent that you have the authority to bind that entity to these terms.

2. Usage & Restrictions

  • Lawful Use: You agree to use the Platform only for lawful business purposes in accordance with Indian laws.
  • No Resale: You may not license, sell, or lease the Platform to third parties without a Partner Agreement.
  • No Abuse: You shall not attempt to reverse engineer, scrape, or overwhelm our infrastructure (DDoS).

3. Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials (OTP/Password). Indostra is not liable for any loss resulting from unauthorized access to your account due to your failure to secure your credentials.

4. Billing, Taxes & GST

Fees: Services are billed on a subscription basis (Monthly/Annually). All fees are exclusive of applicable taxes unless stated otherwise.

GST Compliance: As an Indian entity, Indostra charges 18% GST on all invoices. You must provide a valid GSTIN to claim Input Tax Credit (ITC).

Refunds: We offer a 30-day money-back guarantee for new customers. After 30 days, refunds are processed on a pro-rata basis only for annual plans.

5. Availability & SLA

We strive for 99.9% uptime. Our commitments regarding uptime, maintenance windows, and service credits are detailed in our Service Level Agreement (SLA).

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including merchantability.

6. Intellectual Property

Our IP: Indostra retains all rights, title, and interest in the Platform, including code, design, and analytics algorithms.

Your Data: You retain full ownership of your restaurant data (Menu, Sales Data, Customer Lists). We process this data solely to provide the Service to you.

7. Limitation of Liability

To the maximum extent permitted by Indian law, Indostra’s total aggregate liability for any claim arising out of these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

We are not liable for indirect, incidental, or consequential damages (e.g., loss of profits due to internet outages).

8. Termination

By You: You may cancel your subscription at any time via the billing dashboard. Access continues until the end of the current billing cycle.

By Us: We may terminate or suspend access for material breach of these terms (e.g., non-payment, fraud) with reasonable notice.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
